1. About these terms
These terms are an agreement between you and Manjari Technologies Private Limited ("Gradii", "we", "us"), 316, Neelkanth Corporate Park, Vidyavihar West, Mumbai, Maharashtra, India. "You" means the organisation that holds the Gradii account and every person who uses it on that organisation's behalf. If you accept these terms for an organisation, you confirm you have authority to bind it.
If your organisation has signed an order form or agreement with us, that document takes priority where it differs from these terms. Our Privacy Policy, our background verification terms and, where signed, our Data Processing Addendum form part of this agreement.
2. The services
Gradii is an AI hiring platform. Depending on what you use, it includes:
- An applicant tracking system: job campaigns, careers pages, applications and candidate pipelines
- AI resume screening and talent-fit scores
- AI assessments and interviews: MCQ, coding, behavioural, theory and combined rounds, with integrity checks
- Iris, an AI voice agent that makes screening and scheduling calls
- Background verification (Gradiify), including document checks through DigiLocker
- WhatsApp and email candidate communication
- The Global Pool, for searching public professional profiles
- Sparky, the in-app assistant
- The Gradii API, webhooks and integrations such as LinkedIn job posting and HRMS connections
We improve Gradii continuously. We may add, change or retire features. If we retire a feature you pay for, we will tell you in advance where we reasonably can.
3. Accounts and security
- Give accurate account and billing information and keep it up to date.
- Keep passwords, two-factor devices and API tokens secure, and don't share accounts. You are responsible for what happens under your account and for the users you invite.
- Use roles to give each user only the access they need.
- Tell us straight away at team@gradii.ai if you suspect unauthorised access.
4. Candidate data
When you use Gradii to hire, you decide why and how candidate data is used. You are the Data Fiduciary (under the GDPR, the controller) and Gradii is your Data Processor. You agree to:
- Have a lawful basis for processing candidates' data, and give candidates the notices the law requires, including that interviews and calls may be recorded and that AI is used
- Get candidates' consent where the law requires it, including before contacting them by phone or WhatsApp and before running background checks
- Use Gradii only for genuine recruitment and HR purposes, and comply with employment, anti-discrimination, data protection and telecom laws
- Respond to candidates' requests about their data. We will help, as described in our Privacy Policy
We process candidate data only on your instructions and as described in our Privacy Policy and, where signed, our Data Processing Addendum.
5. AI outputs
- Scores, summaries, transcripts and recommendations are produced by AI. They can be wrong: speech-to-text can mishear, and a model can misjudge an unusual but correct answer.
- They are there to support your decisions, not to replace them. You are responsible for hiring decisions, including any automatic stage changes you set up. Those changes are recorded and can be reversed.
- We recommend a person reviews borderline and negative outcomes, and that you send every non-passing outcome to human review when hiring in the EU or UK.
- Integrity flags, such as a failed face match, are signals for a person to review, not findings of misconduct.
6. Acceptable use
You agree not to:
- Use Gradii to discriminate unlawfully, or to make decisions based on protected characteristics
- Send spam, or contact people by phone, WhatsApp or email without the consent the law requires
- Upload anything unlawful, or data you have no right to use
- Copy, modify, resell or reverse-engineer Gradii, or build a competing product from it
- Get around usage limits, access controls or billing, or access features you haven't paid for
- Scrape the service, or overload or disrupt it
- Probe or test Gradii's security, except under our vulnerability disclosure policy in the Trust Vault
7. Fees, wallet and refunds
- Prices: as shown on our pricing page, or as agreed in your order form.
- Seats are billed monthly, in advance.
- Usage (assessments, Iris call minutes, background checks and similar) is pay-as-you-go and is charged to your prepaid Gradii wallet when it is used. Some actions need a minimum wallet balance.
- Taxes: prices exclude taxes such as GST, which are added to invoices where they apply.
- Payments are processed by Cashfree. We don't store card details.
- No refunds: payments, wallet top-ups and charges for usage are final and non-refundable, except where the law requires a refund or a charge was made because of Gradii's error.
- Cancellation: if you cancel a paid plan, paid features end immediately and you are not entitled to the rest of the billing period.
- Price changes: we will tell you before prices for your account change.
8. Background verification
Background checks are covered by our background verification terms, which include candidate consent, data sources, employer obligations and the billing rules. In summary:
- Billing is based on the checks selected when a background verification request is initiated and submitted for processing.
- Once a request has been initiated, every check selected in it is billable, whether or not the candidate completes every step.
- Charges for an initiated request remain payable even if it is later incomplete, expired, cancelled at your request or abandoned by the candidate, except where the failure is solely due to a material technical error by Gradii.
- Re-sending reminders on an existing request is not a new billable request.
- Extending a request's expiry, or letting a candidate resume a request, is billable at the applicable rates.
- A re-initiated request that creates a new verification request is billed again for every check selected in it.
- A request duplicated or re-initiated solely because of a Gradii system error is not billed again.
9. API and sandbox
- API tokens are credentials. Keep them secret, rotate them if they may have leaked, and use them only for your own organisation.
- We may apply rate limits to keep the service reliable for everyone.
- Actions taken through the API are billed in the same way as actions taken in the app.
- The sandbox (tokens beginning with iai_test_) returns example data only. It does not reach your real account, contact anyone or create charges.
- Webhook deliveries are signed. You should verify the signature before acting on them.
10. Third-party services
Parts of Gradii rely on third parties, such as DigiLocker, Cashfree, LinkedIn, telephony and messaging providers, and AI and speech providers. They are listed in our Privacy Policy. When you connect your own accounts, such as LinkedIn, Google Calendar or an HRMS, their terms also apply. We are not responsible for outages or changes at those providers, but we will work to limit the effect on you.
11. Service availability
We work to keep Gradii available and fast, but we don't guarantee uninterrupted service. Planned maintenance and incidents may affect availability. Current status is published at status.gradii.ai.
12. Intellectual property and your data
- Gradii, including its software, design, content and brand, belongs to us. We give you a limited, non-exclusive, non-transferable right to use it for your recruitment and HR purposes while your account is active.
- You keep ownership of the data you and your candidates put into Gradii. You let us use it only to provide, secure and support the service for you, as described in our Privacy Policy. We do not use it to train AI models.
- Reports and outputs Gradii generates for you, such as interview summaries and verification reports, are for your internal hiring use.
- If you send us feedback or suggestions, we may use them without obligation to you.
- Don't use our name, logo or trademarks without our written permission.
13. Confidentiality
Each of us will keep the other's non-public information confidential, use it only for this agreement, and share it only with people who need it and are bound by confidentiality. This does not apply to information that is public, already known, independently developed, or that the law requires to be disclosed.
14. Disclaimers and liability
- Gradii is provided "as is". To the extent the law allows, we make no warranties about accuracy, suitability for a particular purpose or uninterrupted availability.
- We are not responsible for candidates' performance, hiring outcomes, or the actions of candidates and other third parties.
- Neither of us is liable for indirect or consequential losses, such as lost profits, revenue or business.
- To the extent the law allows, our total liability to you is limited to the fees you paid us in the 3 months before the claim.
- Nothing in these terms limits liability that cannot be limited by law.
15. Suspension and termination
- You can stop using Gradii at any time.
- We may suspend or close an account that breaches these terms, puts other users or the service at risk, or has unpaid fees. Where we reasonably can, we will warn you first.
- When an account closes, paid features end. You can export your data for 30 days, after which we delete your workspace data within a further 30 days, except what the law requires us to keep.
- Sections that by their nature should continue, such as fees owed, confidentiality, liability and governing law, survive termination.
16. Governing law and disputes
These terms are governed by the laws of India. Before going to court, please raise the issue with us at team@gradii.ai so we can try to resolve it. Any dispute that we can't resolve falls under the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
17. Changes to these terms
We may update these terms. The date at the top shows the latest version. If a change is significant, we will tell you by email or in the app before it takes effect. Continuing to use Gradii after that means you accept the updated terms.
